Terms of Service

These Terms of Service govern your use of the Innovation Peer website, Automation Project Studio, generated documents, project intake tools, supplier submission tools, and related services operated by Innovation Peer Inc.

Overview

By accessing or using Automation Project Studio, you agree to these Terms. If you do not agree, do not use the platform.

Use of the Service

Users may use the platform for early automation planning, project documentation, supplier-preparation workflows, and communication with Innovation Peer.

You agree to use the service only for lawful purposes and in a manner consistent with these Terms and applicable law.

Account Responsibilities

  • You are responsible for maintaining the confidentiality of account credentials.
  • You are responsible for the accuracy of information you submit.
  • You must ensure you are authorized to upload or submit project, company, supplier, or process information on behalf of your organization.

Project Data and Uploaded Materials

You must only upload files, process data, videos, RFQs, supplier documents, or company information you are authorized to share with Innovation Peer.

You remain responsible for determining what information is appropriate to submit and for any obligations owed to employees, customers, suppliers, or regulators.

Generated Outputs and AI-Assisted Content

Generated outputs are preliminary planning artifacts intended to support internal decision-making and supplier preparation. They are not:

  • final engineering designs
  • safety certifications
  • legal advice
  • supplier quotes
  • final feasibility approvals
  • statements of work
  • procurement or legal opinions

Supplier Sharing and Project Privacy

  • Innovation Peer does not share project information with automation suppliers unless the customer approves supplier sharing.
  • Requesting Innovation Peer project review does not automatically authorize supplier outreach.
  • Project data is private by default within the platform workflow.

Supplier Submissions

  • Automation supplier profile submissions, claim requests, or updates may be reviewed, edited, rejected, archived, or approved by Innovation Peer before being used in the Automation Supplier Registry or public lookup.
  • Submission does not guarantee listing, recommendation, project matching, or public display.
  • Innovation Peer does not offer pay-to-rank supplier recommendations.

Intellectual Property

Innovation Peer owns the platform, design, content, code, generated templates, and proprietary methodology, subject to third-party rights.

You retain responsibility for your underlying company and project data. You grant Innovation Peer the rights reasonably needed to host, process, generate outputs from, and support the services you request.

Third-Party Services

The platform may use service providers for hosting, authentication, database, email, analytics, AI processing, and file storage. Those providers are subject to their own terms and privacy practices.

No Professional Advice

Automation Project Studio provides planning support only. It does not replace qualified engineering, safety, legal, financial, procurement, or other professional advice. You are responsible for obtaining appropriate expert review before implementation, contracting, or capital decisions.

Limitation of Liability

To the fullest extent permitted by applicable law, Innovation Peer Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or reliance on generated outputs.

Innovation Peer's total liability for claims relating to the service shall not exceed the greater of amounts paid by you to Innovation Peer for the service in the twelve months preceding the claim or one hundred Canadian dollars (CAD $100), except where liability cannot be limited by law.

Disclaimer of Warranties

The platform and generated outputs are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the extent permitted by law.

Termination

Innovation Peer may suspend or terminate access to the platform if you violate these Terms, pose a security risk, or if required for legal or operational reasons. You may stop using the platform at any time.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles. Courts in Ontario shall have exclusive jurisdiction, subject to mandatory consumer protections.

Changes to Terms

Innovation Peer may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms.
